NEW DELHI: Anil Ambani-led Reliance Communications today agreed to merge its wireless telecom business with a smaller rival Aircel create the country’s fourth largest mobile operator with an asset base of over Rs 65,000 crore.
In the biggest consolidation in the country’s telecommunications sector, RCom and Aircel’s majority owner, Malaysia’s Maxis Communications Berhad (MCB), announced the signing of definitive documents for the fusion of its Indian wireless businesses.
RCom and Aircel will each hold a 50 per cent stake in the new company. The board of directors of the new company will have equal representation from both parties. "The RCom-Aircel combination will create a strong operator clearly ranked among India’s top four telcos by customer base and revenue, and also among the top three operators by revenue in 12 major circles,” both companies said in a joint statement.
RCom is India’s fourth largest telecom operator with nearly 110 million customers, while Aircel is fifth with 84 million subscribers.
RCom had a market share of 9.8 per cent, while Aircel had a share of 8.5 per cent. Sistema, which RCom previously merged with, had a 0.7% stake.
Both companies will transfer Rs 14,000 crore of debt each to the joint venture, taking the new company’s total debt to Rs 28,000 crore, excluding Rs 6,000 crore of spectrum payment liability.
The deal will help RCom reduce its debt by Rs 20,000 crore (or 40 per cent of the total debt on its books).
"RCom will continue to own and operate its high-growth businesses in the domestic and global enterprise space, data centers, fiber optics and related telecommunications infrastructure, in addition to owning valuable real estate,” the statement said.
